
Administrative restoration of a
dissolved company
If a company fails to lodge
accounts or Annual Returns then it will be dissolved by Companies
House.
This sometimes occurs when
the company is still trading because it has not notified Companies
House of a change of Registered Office, so warnings that documents are
overdue have been sent to an out of date address.The company's assets
then revert to the Crown (becoming 'bona vacantia'). The 2006 Companies
Act brought in a simplified procedure for restoring a company called
Administrative Restoration, which allows a company to carry on as if it
had not been dissolved. We can arrange this for £500 plus VAT,
excluding any fines due to Companies House for late filing.
If a company has been
dissolved its own request, Adminstrative Restoration is not possible,
but it can apply to the Treasury Solicitor's Office for recovery of any
assets such as a bank account (up to £3000) which were not taken
out before the company was dissolved. The Treasury Solicitor will not
allow an application if Adminstrative Restoration is possible. We can
