Formation of Company Limited by Guarantee

Companies Limited by Guarantee are normally non-profit making companies such as charities and trade associations. You can opt not to have the word 'Limited' as part of the company name - it will still be a limited company. The cost is £117 including VAT.

Incorporation with bona fide officers

To incorporate your company with bona fide officers, complete the Guarantee Company Formation Request Form with Bona Fide Officers.

Incorporation with nominee officers

If you prefer to incorporate with a bona fide Registered Office and nominee director, secretary and guarantor, complete the Guarantee Company Formation Request Form with Nominee Officers. You will need to complete Companies House appointment forms to appoint the bona fide director(s) and secretary and post them to us.
