The authorised or nominal capital is the capital which the company is allowed to issue, (although it need never do so), as opposed to the capital actually issued.

Note: A plc must have an authorised share capital of at least £50,000 or 65,600 Euros, and it must complete form 117 certifying that the minimum is paid up in order to apply for a certificate authorising the company to commence trading. At least 25% must be paid up on each share, so plcs must have a minimum of £12,500 paid up share capital before commencing trading.

A plc must must also have at least at least two directors a secretary and two shareholders. At least one director must be an individual, not a corporate entity.
